Please read these Terms of Service ("Terms") carefully before using the GeneratedBy platform, available at www.generatedby.com ("Platform"), operated by GeneratedBy ("us", "we", or "our"). Your access to and use of the Platform is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Platform, you agree to be bound by these Terms.

Accounts

To use certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your account and password, as well as for any activities that occur under your account. You agree to notify us immediately if you become aware of any unauthorized use of your account.

We reserve the right to terminate or suspend your account at any time, for any reason, including, but not limited to, a breach of these Terms.

User Content

You retain ownership of any intellectual property rights that you hold in the content you submit, post, or display on the Platform ("User Content"). By submitting, posting, or displaying User Content on the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your User Content in any and all media or distribution methods.

You are solely responsible for the User Content that you submit, post, or display on the Platform. You represent and warrant that you own or have the necessary rights and permissions to use and authorize the use of your User Content as described in these Terms.

Prohibited Activities

By using the Platform, you agree not to engage in any of the following activities:

Violate any applicable laws or regulations

Submit, post, or display any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable Interfere with the operation of the Platform or the servers and networks connected to the Platform Attempt to gain unauthorized access to the Platform or other users' accounts Use the Platform for any commercial purposes without our prior written consent

Intellectual Property

The Platform and its content, features, and functionality are and will remain the exclusive property of GeneratedBy and its licensors. The Platform is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Termination

We may terminate or suspend your access to the Platform without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Platform will immediately cease.

Limitation of Liability

In no event shall GeneratedBy, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Platform; (ii) any conduct or content of any third party on the Platform; (iii) any content obtained from the Platform; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any changes by posting the updated Terms on our Platform. It is your responsibility to check these Terms periodically for changes. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the updated Terms. If you do not agree to the new Terms, you must stop using the Platform.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Indemnification

You agree to defend, indemnify, and hold harmless GeneratedBy, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your User Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.

Disclaimer of Warranties

Your use of the Platform is at your sole risk. The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. The Platform is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

GeneratedBy does not warrant that a) the Platform will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Platform is free of viruses or other harmful components; or d) the results of using the Platform will meet your requirements.
